Evaluated strategic recapitalization alternatives for the second largest factory outlet mall operator in the US. The company owned a portfolio of 22 factory outlet malls located in 16 states. Completed the acquisition of a minority partner interest in the company on behalf of a private REIT. Evaluated recapitalization alternatives, including raising project-level equity, entity-level equity, IPO or sale of the company. The company was ultimately sold to the largest shopping center REIT for $2.3 billion.
Represented a group of homeowners in the successful restructuring of a condominium hotel project. Negotiated a $20 million settlement of class action litigation with a major financial institution.
Evaluated recapitalization alternatives for a public REIT that owned a $500 million portfolio of office properties.
Completed the restructuring of a portfolio of 17 hotels with $170 million of secured debt, including conveying the collateral properties to the senior lender and obtaining the release of a $16 million personal guaranty issued by the borrower’s key principal.
Completed a valuation of a private REIT that controls a $2 billon property portfolio, including 5,000 apartment units.
Advised a NYSE-listed property company in the divestiture of a $2.5 billion regional mall portfolio in a complex transaction involving 20 separate restructurings and sales of regional malls to two of the largest US mall REITs.
